Services Agreement Specifications
Like any business service provider, Rescue Desk asks clients to sign a standard services agreement simply
to ensure both parties are in agreement about the work to be done and the scope of project(s) to be
completed. Below are some of the primary highlights of a basic agreement.
Description of Services
As it implies, this is a description of the projects,
scope of work to be done and any other pertinent
information related to the services Rescue Desk will
provide.
Payment and Invoicing
This simply outlines the hourly or per-project rate
agreed upon, the invoicing schedule (i.e., Rescue
Desk invoices every 30 days; payment due 21 days
later), interest for outstanding invoices, etc.
Service location, work schedule and
"relationship of parties"
This legalese basically says Rescue Desk is a
service provider, not an employee. While I love
visiting clients when I can, basically all services are
done at the Rescue Desk office, so Rescue Desk is
responsible for how and when to carry out the
work in order to meet client deadlines and goals.
Reimbursement Expenses
Clients are responsible for out-of-pocket expenses
directly attributable to the work to be completed
when the expenses are authorized by the client.
Examples include postage, printing, payment to
clients' third-party vendors, mileage, etc.
Liability
If something completely unforeseen happens that
is clearly beyond our or your control -- i.e., an Act of
God -- that it's, well, God's fault.
Rest assured that Rescue Desk has backup
systems in place and, while hopefully never
needed, they can be called upon in an emergency.
Term/Termination
Clients have either a retainer arrangement or a
per-project agreement with Rescue Desk (This is
usually outlined in the Description of Services.)
All new retainer agreements require an initial
3-month minimum commitment. After that, your
arrangement with Rescue Desk is month-to-month.
All per-project agreements require a four-hour
minimum commitment. Unless otherwise noted,
once the project is complete, the agreement has
been fulfilled.
Confidentiality
We know you have proprietary information that we
may be privy to. Rest assured that we take our
commitment to keeping that information safe and
confidential very seriously -- both during AND after
our business relationship may end. We'll never
directly or indirectly share it, use it, divulge it,
disclose it or communicate it.
Return of Records
Once business has grown to the point where you
simply need to hire a full-time employee, or your
big yearly project is complete, we'll return all
records, data, equipment or anything else of yours
Rescue Desk used to support you.
Amendments
Life is full of changes. Just about any part of the
agreement can be amended with a conversation
followed by a written note and a signature.
